Ownership of Site; Agreement to Terms of Use

These Terms and Conditions of Use (the "Terms of Use") apply to the Eagle Rock Site located at www.eaglerockenergy.com, and all associated sites (other than third party web sites) linked to www.eaglerockenergy.com by Eagle Rock Energy Partners, LP ("Eagle Rock"), its subsidiaries and affiliates, including Eagle Rock sites around the world (collectively, the "Site"). The Site is the property of Eagle Rock Energy Partners, LP. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

Eagle reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, Eagle Rock grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site. No other rights or licenses are granted, express or implied.

Content

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of such Content, contained on the Site is owned, controlled or licensed by or to Eagle Rock, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.

Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, Site or other medium for publication or distribution or for any commercial enterprise, without Eagle Rock's express prior written consent.

Communications and Submissions

Eagle Rock does not wish to receive confidential or proprietary information from visitors to the Site. Unless specifically set forth to the contrary on the Site (a) any communication or material you transmit to the Site by electronic mail or otherwise, including any data, questions, comments, suggestions or the like is, and will be treated as, nonconfidential and nonproprietary and (b) anything you transmit or post to the Site becomes the property of Eagle Rock and may be used for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast and posting. Eagle Rock is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to the Site for any purpose whatsoever.

USE OF THE SITE IS AT YOUR SOLE RISK. ALL MATERIALS, INFORMATION, PRODUCTS AND SERVICES ARE PROVIDED "AS IS," WITH NO WARRANTIES OR GUARANTEES WHATSOEVER. EAGLE ROCK EXPRESSLY DISCLAIMS TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, GUARANTEES, OR REPRESENTATIONS, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY AND INTELLECTUAL PROPERTY RIGHTS. EAGLE ROCK MAKES NO WARRANTY OR GUARANTEE THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. Some jurisdictions do not allow the exclusion of warranties, so the above exclusions may not apply to you. Eagle Rock also assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect your computer equipment or other property on account of your access to, use of, or browsing in the Site or your downloading of any materials, data, text, images, video, or audio from the Site. In addition, you expressly acknowledge and agree that Eagle Rock is not liable or responsible for any defamatory, offensive or illegal conduct of third parties.

Limitation of Liability

In no event will Eagle Rock be liable for any direct, indirect, incidental, exemplary, special or consequential damages of any nature in any way arising out of or relating to the use of the Site or materials or information made available at the Site, whether or not Eagle Rock has been apprised of the possibility of such damages.

Governing Law

These Terms of Use are governed by the laws of the State of Texas and Federal law where applicable. You agree that the exclusive jurisdiction for any legal action arising out of or relating to this site shall be in the State and Federal courts in and for Harris County, Texas.
